EXPLANATORY NOTE
In accordance with the instructional Note to Part I of Form S-8 as promulgated by the Securities and Exchange Commission (the Commission), the information specified by Part I of Form S-8 has been omitted from this Registration Statement. This Registration Statement on Form S-8 of SL Green Realty Corp. (the Company) is being filed pursuant to General Instruction E of Form S-8 in connection with the registration of an additional 5,000,000 shares of the Companys common stock, par value $0.01 per share (Common Stock), that may be issued pursuant to the Amended and Restated 2005 Stock Option and Incentive Plan (the Amended 2005 Plan). The contents of the Registration Statement on Form S-8 (File No. 333-127014), filed by the Company with the Commission on July 29, 2005, under which 4,375,000 shares of Common Stock were registered for issuance under the 2005 Stock Option and Incentive Plan are incorporated herein by reference.
The board of directors of the Company approved the Amended 2005 Plan on March 14, 2007, and the Amended 2005 Plan was approved by the Companys stockholders on May 24, 2007.
